Quorum questions tend to surface late: the board has acted on a resolution, then someone asks if enough directors were there to pass it.

Quorum is the minimum number of eligible members who must be present for a meeting to make valid decisions. Your constitution or bylaws set the number. Boards slip in three places: counting people whose term had already ended, counting non-voting attendees, and keeping attendance in a form nobody can check later.

Our Board Governance System for Excel and Google Sheets does the count. It reads who was serving on the meeting date, who attended and the quorum rule you set. A meeting that fell short is labelled INQUORATE, and every decision minuted at it carries the same label. It also counts skills coverage twice, today and after term expiries already on the calendar, and keeps twelve assurance checks out of the health score. In the fictional sample board, the index reads 69 of 100 while 11 of 12 assurance checks fail.

When a new chair or auditor asks whether a decision was validly made, you have a dated answer.

It isn't a minute book and includes no bylaws. The quorum rule is an editable default to check against your own constitution.
